1. Agreement to Terms
By accessing or using the services of 207 Systems ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access our services. These Terms apply to all visitors, users, and others who access or use our IT support and technology services.
2. Services Description
207 Systems provides professional IT support services including but not limited to:
- Network design, installation, and maintenance
- Computer and hardware support and repair
- Security system installation and monitoring
- Cloud services and backup solutions
- Managed IT services
- Emergency IT support
- Technology consulting
We reserve the right to modify, suspend, or discontinue any service at any time with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of any service.
3. Service Area
Our services are primarily provided to businesses located in the State of Maine, United States. While we may provide remote support services to clients outside of Maine, onsite services are limited to Maine. Service availability may vary based on location, and we reserve the right to decline service requests outside our primary service area.
4. User Responsibilities
As a user of our services, you agree to:
- Provide accurate and complete information when requesting services
- Maintain the confidentiality of any access credentials or account information we provide
- Comply with all applicable laws and regulations
- Not use our services for any illegal or unauthorized purpose
- Not interfere with or disrupt our services or servers
- Not attempt to gain unauthorized access to any portion of our services
- Back up your data before we perform any service that may affect your data
5. Payment Terms
Payment terms for our services are as follows:
- Payment is due according to the terms specified in your service agreement or invoice
- We accept payment by check, credit card, or other agreed-upon methods
- Late payments may incur additional fees as specified in your service agreement
- We reserve the right to suspend or terminate services for non-payment
- All prices are subject to change with notice, except for services already under contract
6. Intellectual Property
All content, features, and functionality of our services, including but not limited to text, graphics, logos, and software, are owned by 207 Systems or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works of any material from our services without our prior written consent.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 207 SYSTEMS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY.
We recommend that you maintain regular backups of your data. While we take reasonable precautions, we are not responsible for data loss that may occur during the provision of our services.
8. Warranty Disclaimer
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.
9. Indemnification
You agree to defend, indemnify, and hold harmless 207 Systems and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services or violation of these Terms.
10. Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the services will immediately cease. If you wish to terminate your account or service agreement, you may simply discontinue using our services or contact us to cancel your service agreement according to its terms.
11. Dispute Resolution
Any disputes arising out of or relating to these Terms or our services shall be resolved through good faith negotiations. If we cannot resolve a dispute through negotiation, the dispute shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Maine. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Maine, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Maine.
13. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our services and supersede and replace any prior agreements we might have had between us regarding the services.
